Vaultix Terms of Service

Vaultix is a mobile app that scans and identifies trading card game cards — Magic: The Gathering, Pokémon (English and Japanese), Yu-Gi-Oh!, Disney Lorcana, Flesh and Blood, One Piece Card Game, Gundam Card Game, Dragon Ball Super Card Game Fusion World, Dragon Ball Z TCG, and Riftbound: The League of Legends Trading Card Game — and helps you organize them into collections on your device.

These Terms of Service ("Terms") are an agreement between you and KDC Solutions ("KDC," "we," "us"). By installing or using Vaultix (the "App"), you agree to these Terms. If you do not agree, do not use the App.

1. License, not sale

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on Android devices you own or control, for your own personal use (or, on the Shop tier, your business's use as described in Section 7). The App is licensed to you, not sold. We and our licensors retain all rights, title, and interest in the App, including its recognition technology, data packs, and content, except for content you own (your card photos and your collection data are yours).

You may not copy, modify, distribute, sell, lease, or sublicense the App or any part of it except as these Terms or applicable law expressly allow.

2. Eligibility

You must be old enough to form a binding contract in your jurisdiction, or use the App with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. Purchases require a Google account in good standing and are subject to Google Play's own age and account rules.

3. Accounts and entitlements

The App does not require you to create a Vaultix account, and version 1 has no sign-up: no username, no password, no email. Your subscription tier, scan balances, and promotional credits (together, your "Entitlements") are maintained as an entitlement record associated with your device and your Google Play purchases. In these Terms, references to your "account" mean that entitlement record and, where relevant, your Google Play account.

You are responsible for the devices you use with the App. Entitlements are personal to you: one person (or, on the Shop tier, one business location as described at purchase), and may not be shared, transferred, or sold. If we later introduce optional Vaultix accounts, these Terms will apply to them and we will update this section.

4. Subscriptions and billing

Billing is handled by Google Play. All paid subscriptions are purchased through Google Play Billing under your Google account. We never see or store your payment card details; Google processes payment and shares only your purchase state with us so we can grant your tier.
Auto-renewal. Subscriptions are offered on monthly and annual terms and renew automatically until you cancel. Cancel any time in the Google Play Store's Subscriptions section; cancellation takes effect at the end of the current billing period.
Refunds are governed by Google Play's refund policies. Where we have discretion, we may issue refunds case by case, but we are not obligated to refund partial billing periods.
Price changes. We may change subscription prices. For existing subscribers, price changes take effect no sooner than the next renewal after notice given per Google Play's price-change notification rules (and in-app where practical). If you do not accept a price change, cancel before it takes effect.
Tiers and quotas. Current tiers, prices, and scan quotas are shown in the App and on the store listing at the time of purchase. [DECIDE — entry tier name and scan quota are not yet final; the in-app tier table this section points to must be finalized before launch.]

5. Scan quotas and promotional credits

Each tier includes a monthly scan quota. Monthly quotas reset each billing cycle and unused monthly scans do not roll over. [DECIDE — confirm no-rollover policy; recommended in the build brief.]
Promotional credits — including free-tier bonus scans, sign-up bonuses, and referral credits — are promotional. They have no cash value, are non-transferable, cannot be redeemed or exchanged for money or anything else, may be revoked if we determine they were obtained or used through fraud or abuse, and are extinguished if your access is terminated for breach of these Terms. [DECIDE — bonus-scan burn order (monthly first, bonus after) is a product decision that should match this section's wording once final.]
Fair use. Any tier described as "unlimited" is unlimited for genuine use of the kind the tier is sold for. Automated, scripted, or machine-driven scanning at rates no human user would produce, or use patterns that indicate resale or pooling of capacity, are not genuine use and may be throttled or terminated.
Enforcement. Scan quotas are enforced through periodic signed check-ins between the App and our servers. Interfering with, spoofing, or blocking those check-ins to evade quotas is a breach of these Terms.

6. Referral program (when available)

If we offer referral rewards, both the referrer and the referred user may receive bonus scans as described in-app. [DECIDE — referral reward amounts.] Referral credits are promotional credits under Section 5. One redemption per person and per device; self-referral, install farming, incentivized or automated installs, and any scheme designed to manufacture referral credit are abuse, and we may reverse credits, withhold rewards, and terminate access for it. Referrer credit may be delayed until the referred user shows genuine use.

7. Acceptable use

You agree that you will not:

Reverse engineer the App, its recognition models, or its data packs; decompile, disassemble, or extract them; or attempt to derive our card databases, model weights, or matching logic, except to the extent applicable law expressly permits despite this restriction.
Bot or scrape the recognition service or our servers: no automated clients, scripted scanning, bulk API access, or traffic that does not come from an unmodified copy of the App operated by a human.
Resell or pool scan capacity: no selling, renting, sharing, or brokering scans, quota, or access; no operating the App as a back end for another product or service.
Evade limits with multiple accounts: no creating or using multiple devices, Google accounts, or entitlement records to multiply free quotas, re-earn one-time bonuses, or dodge a termination.
Use the App for a shop or business without the Shop tier. Commercial use — scanning inventory for a store, buylist processing, scanning as a paid service, or any use on behalf of a business — requires an active Shop tier subscription. The lower tiers are for personal collections. This is the line, written down.
Abuse the flag or feedback systems: no submitting images you lack rights to submit, unlawful content, or content that is not a card scan; no spamming the feature-request form.
Interfere with the App's security, quota enforcement, or our servers, or help anyone else do any of the above.

Automated or bulk abuse of any kind is grounds for immediate termination without refund of any subscription period then in progress, in addition to revocation of promotional credits under Section 5.

8. User-submitted images (misread flags)

Scanning is processed on your device, and no scan image leaves your phone in normal use. Separately, the App lets you *choose* to flag a misread and send us the flagged card image to improve recognition. If you do:

You grant KDC Solutions a limited, non-exclusive, worldwide, royalty-free license to store, reproduce, and analyze the submitted card image solely to improve the App's card-recognition accuracy, exactly as described in the in-app consent screen at the time you submit it.
The image is cropped to the card area, stripped of EXIF and location metadata, and shown to you before it is sent. Nothing is submitted automatically.
We do not use flagged images for advertising, do not sell them, and do not share them with third parties.
You may request deletion of your submitted images at any time by emailing support@kdcsolutions.app; images are also deleted from our servers once processed, and in any case within the retention period stated in the Privacy Policy (maximum 90 days [DECIDE — confirm retention cap]).
You promise you have the right to submit any image you flag. Card artwork within a lawfully photographed physical card is expected; do not submit images that are not scans of physical cards in your possession.

9. Feedback and feature requests

Feature-request submissions and other feedback are voluntary and anonymous. You grant us the right to use, aggregate, and act on feedback without restriction, credit, or compensation. Do not include personal information in free-text fields; because submissions are anonymous, we cannot identify and retrieve a specific submission afterward.

10. Third-party games and intellectual property

Vaultix is an independent product of KDC Solutions. It is not affiliated with, endorsed by, sponsored by, or approved by Wizards of the Coast LLC; The Pokémon Company, Nintendo, Creatures Inc., or GAME FREAK Inc.; Konami; The Walt Disney Company or Ravensburger; Legend Story Studios; Bandai or Bandai Namco; or any other game publisher, rights holder, or their affiliates.

Magic: The Gathering, Pokémon, Yu-Gi-Oh!, Disney Lorcana, Flesh and Blood, One Piece Card Game, Gundam, Dragon Ball, Riftbound and League of Legends, and all related card names, set names, logos, and artwork are trademarks and copyrights of their respective owners. Vaultix uses game and card names solely to identify which physical cards the App is compatible with (nominative use). All card images you scan remain subject to their owners' rights; the App gives you no license to any publisher's intellectual property.

11. Card values disclaimer

Prices and estimated values shown in the App are informational estimates only, derived from publicly available market data that may be delayed, incomplete, or wrong. They are not appraisals, not offers to buy or sell, and not financial or investment advice. Actual sale prices depend on condition, grading, timing, venue, and buyers, and can differ substantially from any estimate shown. We do not guarantee the accuracy, completeness, or timeliness of any price, and you should not make financial decisions based solely on values shown in the App.

12. Beta features

Recognition support for some games and some features is early and still learning; the App labels these in-app. Beta and early-access features are provided as-is and as-available, may be slower, less accurate, changed, or removed at any time, and carry no commitment of future availability. Flagging misreads (Section 8) is how beta recognition improves.

13. Changes to the service

We may add, change, or remove features, games, data packs, quotas (for new purchases), and pricing over time, and may suspend or discontinue the App or parts of it. If we discontinue a paid service entirely, we will not charge renewals for it after discontinuation. Your collection data lives on your device and is exportable (CSV) — discontinuation of our servers does not delete your local collection.

14. Termination

You may stop using the App at any time; delete it and cancel any subscription in Google Play. We may suspend or terminate your access (including revoking entitlements and promotional credits) if you materially breach these Terms — in particular Section 7 — or where required by law. For automated or bulk abuse, termination may be immediate and without prior notice. Sections that by their nature should survive (including 8–11 and 15–17) survive termination.

15. Warranty disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF RECOGNITION RESULTS, AND ACCURACY OF PRICE DATA. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY CARD WILL BE RECOGNIZED CORRECTLY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) KLINETEK SOLUTIONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSSES ARISING FROM RELIANCE ON RECOGNITION RESULTS OR PRICE ESTIMATES (INCLUDING BUYING, SELLING, OR TRADING DECISIONS); AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP IS LIMITED TO THE GREATER OF FIFTY DOLLARS (US $50) OR THE AMOUNTS YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

17. Indemnification

You will defend and hold KDC Solutions harmless from claims arising out of your breach of these Terms, your misuse of the App, or images you submit in violation of Section 8, to the extent permitted by law. [ATTORNEY REVIEW — consumer-facing indemnification clauses are limited or unenforceable in some jurisdictions; confirm scope.]

18. Governing law and dispute resolution

Governing law: These Terms are governed by the laws of [STATE — DECIDE], without regard to conflict-of-laws rules, and subject to any consumer protections of your place of residence that apply regardless of choice of law.
Informal resolution first: before filing any claim, email support@kdcsolutions.app with a description of the dispute; the parties will try in good faith to resolve it within 30 days.
**Arbitration [ATTORNEY REVIEW — entire clause; do not ship without counsel sign-off]:** Except for small-claims matters and injunctive relief for intellectual-property violations, any dispute arising out of these Terms or the App shall be resolved by binding individual arbitration administered by [ARBITRATION PROVIDER — DECIDE, e.g., AAA under its Consumer Arbitration Rules], in [STATE — DECIDE] or remotely by videoconference. **Class actions and class arbitrations are waived; claims may be brought only in an individual capacity.** You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@kdcsolutions.app with the subject "Arbitration opt-out." [ATTORNEY REVIEW — opt-out window, fee allocation, mass-arbitration provisions, and enforceability vary by state; this clause is a draft skeleton, not final language.]

19. Audience

Vaultix is a general-audience app about trading card games. It is not directed to children, and it does not ask anyone — child or adult — for a name, email address, contact details, or location. The only data that ever leaves your device is described in the Privacy Policy, and the image-flag flow is opt-in per submission. Parents and guardians are responsible for purchases made through family-managed Google accounts; Google Play's family controls govern purchase approvals.

20. Changes to these Terms

We may update these Terms. For material changes we will give notice in the App or via the store listing before the changes take effect, and the "Effective date" above will change. Continued use after the effective date is acceptance. If you do not accept updated Terms, stop using the App and cancel any subscription.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms plus the Privacy Policy are the entire agreement between you and KDC Solutions regarding the App. Failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a sale or reorganization of the business.
